AGREEMENT TO THESE TERMS

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and SC KLIPPA SOFT SRL (“Company,” “we,” “us,” “our”), governing your access to and use of TidySpend (“Service”), available at https://tidyspend.app.

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. DESCRIPTION OF SERVICE

TidySpend is an automated personal finance SaaS tool. Users upload bank statements (CSV or PDF files) to receive AI-powered spending analysis, automatic transaction categorization, subscription detection, and cash flow insights. No bank login is required. The service is fully automated – no human reviews user financial data.

2. ELIGIBILITY

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement.

3. USER ACCOUNTS

To access certain features, you must register for an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use

You may update or delete your account at any time via the Settings page within the app.

4. SUBSCRIPTION AND PAYMENTS

4.1 Plans

TidySpend offers a free tier and paid Pro subscriptions (monthly and annual). Paid subscriptions are processed through Paddle, our Merchant of Record.

4.2 Free Trial

New users may access a 14-day free trial of the Pro tier. At the end of the trial period, the account will revert to the free tier and will not be charged. Upgrading to a paid plan requires explicit user action.

4.3 Billing

Subscriptions automatically renew at the end of each billing period (monthly or annual, per your selection). You may cancel at any time via your account settings.

4.4 Payment Methods

We accept Visa, Mastercard, and American Express. All payments are in US dollars.

4.5 Refunds

You may request a refund within 30 days of purchase by contacting us at privacy@tidyspend.app. Refunds are handled by Paddle as Merchant of Record.

5. PROHIBITED ACTIVITIES

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload financial data belonging to other individuals without their consent
  • Attempt to reverse engineer, decompile, or access the source code of the Service
  • Use automated tools to scrape, crawl, or extract data from the Service
  • Interfere with or disrupt the integrity or performance of the Service

6. FINANCIAL DISCLAIMER

IMPORTANT: TidySpend is a financial analysis tool only and does not provide financial advice, investment advice, or any professional financial services. All spending categorizations, predictions, and recommendations are generated automatically by software and are provided for informational purposes only. Users should not rely on TidySpend’s analysis as a substitute for professional financial advice. TidySpend is not responsible for any financial decisions made based on the information provided by the Service.

7. INTELLECTUAL PROPERTY

The Service, including its software, design, and content, is owned by SC KLIPPA SOFT SRL and protected by applicable intellectual property laws. You retain ownership of all data you upload to the Service.

8. PRIVACY

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. THIRD-PARTY SERVICES

The Service integrates with third-party providers including Clerk (authentication), OpenAI and Anthropic (AI processing), Paddle (payments), PostHog (analytics), and Sentry (error tracking). Your use of these services is subject to their respective terms and privacy policies.

10. LIMITATION OF LIABILITY

10.1 Liability Cap

To the maximum extent permitted by applicable law, our total liability to you for any claims arising from or related to the Service shall not exceed the amount paid by you to us in the 12 months preceding the claim.

10.2 Exclusion of Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of the Service.

11. DISCLAIMER OF WARRANTIES

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. DISPUTE RESOLUTION

12.1 Informal Negotiations

Before initiating arbitration, the parties agree to attempt to resolve any dispute informally for at least 30 days by contacting us at privacy@tidyspend.app.

12.2 Arbitration

If informal negotiations fail, disputes shall be resolved through binding arbitration in Cluj-Napoca, Romania, conducted in English. This arbitration agreement may apply to users in the European Union or claims brought in the European Union.

13. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to conflict of law principles. The courts of Cluj-Napoca, Romania shall have jurisdiction over any disputes not subject to arbitration.

14. CHANGES TO TERMS

We reserve the right to update these Terms at any time. We will notify you of material changes via email to your registered address. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

15. TERMINATION

We may suspend or terminate your account at any time for violation of these Terms. You may terminate your account at any time via the Settings page.
